MVCA Special Meeting of the Members

Revisions to MVCA By-Laws

In October 2021, the Ontario Not-for-Profit Incorporations Act (ONCA) was proclaimed.  The Act is the legislation under which all not-for-profit organizations registered in Ontario are governed.  It came into effect A transition period was granted to allow existing organizations to evaluate their governing documents and make changes as required. If fundamental changes were made, the deadline to submit the documentation to the province is October 2024.

MVCA convened the Governance Committee who has researched ONCA, assessed our Constitution and By-Laws and have made recommendations that will bring us into compliance with the legislation.  The Board was consulted along the way and changes were discussed and revised accordingly.  The revised By-Laws were then reviewed by a lawyer.  Her comments were discussed and incorporated.  That version of the revised By-Laws were approved by the Board of Directors on March 12, 2024.

The next step is seeking approval of the revised By-Laws from the MVCA Membership.  That is the pupose of the meeting on April 16.  

Please note that our current By-Laws (7.4) state that in order to be able to vote at a meeting of the Members, one must be an MVCA Member one month prior to the announcement of the meeting.  The Special Meeting was announced on March 5, 2024 to MVCA Members.  Those eligible to vote will have been MVCA Members on or before February 5, 2024.  This means several of you will not be able to vote on the motion.  Regardless, everyone is welcome to attend the meeting and participate in the discussion.  Please contact us if you have any questions in this regard.
